Terms & Conditions

USER DISCLAIMER (Please Delete): This agreement may not be suitable for your circumstances and we recommend you seek legal advice before using it. Better Proposals does not take any responsibility for any events that arise as a result of your use of this agreement.

Scope of Services
*Templates - LIVE agrees to provide the digital marketing services outlined within this proposal, including strategy development, campaign management, content direction, optimisation, reporting, and ongoing marketing support where applicable.

Any services requested outside the agreed scope of work may require a separate quotation and approval before additional work begins.

Term of Agreement
This agreement begins on the date the proposal is signed and will continue for the agreed minimum term outlined within this proposal.

Following the minimum term, the agreement will continue on a rolling monthly basis unless terminated in accordance with the cancellation terms outlined below.

Due to the strategic and ongoing nature of digital marketing services, the minimum engagement period is required to allow sufficient time for campaign optimisation, data collection, audience targeting, and performance improvements.

Payment Terms
All monthly retainers are payable in advance unless otherwise agreed in writing.

Invoices must be paid within the payment terms specified on the invoice. Failure to make payment on time may result in campaigns, advertising activity, content production, or ongoing services being paused until outstanding balances are settled.

All pricing excludes VAT or applicable taxes unless otherwise stated.

Advertising budgets, media spend, third-party software subscriptions, influencer fees, stock assets, printing, or any external costs are separate from management fees unless specifically included within this proposal.

Client Responsibilities
The client agrees to provide all required information, approvals, access credentials, brand assets, and feedback necessary for the successful delivery of services.

Delays in providing requested materials, approvals, or communication may impact campaign timelines, content schedules, and overall performance outcomes. *Templates - LIVE will not be held responsible for delays caused by incomplete information or lack of client response.

The client is responsible for ensuring that all materials, claims, and business information supplied are accurate, lawful, and compliant with applicable regulations.

Marketing Performance
While *Templates - LIVE will use reasonable skill, care, and expertise to improve marketing performance and achieve agreed objectives, no guarantees can be made regarding specific results, rankings, revenue increases, lead volumes, or advertising performance.

Digital marketing results are influenced by numerous external factors including market conditions, competition, platform algorithm changes, audience behaviour, seasonality, and advertising costs, all of which are outside the control of *Templates - LIVE.

Any performance estimates, projections, or forecasts provided are intended for planning purposes only and should not be interpreted as guaranteed outcomes.

Intellectual property
Upon full payment of all outstanding invoices, the client will retain ownership of final approved marketing assets created specifically for the client unless otherwise agreed in writing.

*Templates - LIVE retains the right to display completed work, campaign examples, performance data, and creative assets within portfolios, presentations, case studies, social media, and marketing materials unless otherwise agreed in writing.

Any third-party assets, software, templates, fonts, stock imagery, licensed content, or tools used during the project remain subject to their respective licensing agreements.

Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or commercially confidential information shared during the course of the engagement.

Confidential information will not be disclosed to any third party unless required by law or where necessary to deliver agreed services through approved suppliers, contractors, or platforms.

This obligation will continue after termination of the agreement.

Communication & Approvals
Timely communication and approvals are essential for maintaining campaign schedules and project timelines.

Where approvals are required for campaigns, advertisements, content, or creative assets, the client agrees to review and respond within a reasonable timeframe. Delays in approvals may impact delivery schedules and campaign performance.

Unless otherwise agreed, approval provided through email, messaging platforms, or project management systems will be considered valid authorisation to proceed.

Cancellation & Termination
Either party may terminate the agreement after the minimum term by providing written notice in accordance with the agreed notice period.

If the client terminates the agreement before the end of the minimum term, any remaining fees due within that term may become immediately payable.

*Templates - LIVE reserves the right to terminate services immediately in cases involving abusive behaviour, unlawful activity, non-payment, or repeated failure to provide required cooperation or materials.

Upon termination, all outstanding invoices for completed work and incurred costs will become immediately payable.

Limitation of Liability
To the maximum extent permitted by law, *Templates - LIVE shall not be liable for any indirect, incidental, special, or consequential damages including loss of profits, revenue, business opportunities, reputation, or data arising from the services provided.

Total liability under this agreement shall be limited to the total fees paid by the client for services provided during the three months immediately preceding the claim.

Force Majeure
Neither party shall be held liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, internet outages, platform disruptions, government actions, labour disputes, pandemics, or third-party service failures.

Acceptance
By signing this proposal, the client confirms that they have read, understood, and agreed to the scope of services, pricing structure, minimum term, and terms & conditions outlined within this agreement.
