Project Scope
All services provided will be limited to the scope outlined within this proposal unless otherwise agreed in writing by both parties. Any additional services, revisions, consultations, or operational support requested outside of the agreed scope may result in additional costs and adjusted project timelines.
Client Responsibilities
The client agrees to provide all necessary operational information, documentation, site access, personnel availability, and approvals required for the successful completion of the project. Delays in providing required information or approvals may impact delivery schedules and project outcomes.
Project Timelines
Project timelines provided within this proposal are estimates based on the information available at the time of submission. Timelines may be adjusted due to unforeseen operational conditions, delayed client feedback, supply chain disruptions, restricted site access, or changes in project requirements.
Fees & Payment Terms
All pricing, payment schedules, and invoicing terms will be confirmed within the final service agreement. Unless otherwise stated, invoices are payable within the agreed payment period. Late payments may result in project delays, suspension of services, or additional administrative charges where applicable.
Change Requests
Any modifications to the approved project scope, deliverables, implementation plans, or operational requirements must be submitted and approved in writing. Additional work resulting from change requests may require revised pricing, resources, and timelines.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, operational, financial, technical, or business information shared throughout the duration of the project. Confidential information may not be disclosed to third parties without prior written consent unless required by law.
Implementation & Operational Risk
While all recommendations and engineering strategies are developed using industry best practices and available operational data, final implementation decisions remain the responsibility of the client. Project outcomes may vary depending on operational conditions, workforce compliance, equipment performance, and external factors beyond reasonable control.
Health & Safety Compliance
Where applicable, all on-site activities will be conducted in accordance with relevant workplace health, safety, and operational regulations. The client is responsible for maintaining a safe working environment and providing any required safety procedures, inductions, or permits.
Intellectual Property
All reports, assessments, process documentation, engineering recommendations, and supporting materials developed during the project remain the intellectual property of the service provider until full payment has been received, unless otherwise agreed in writing.
Limitation of Liability
The service provider shall not be held liable for indirect losses, production downtime, operational interruptions, loss of revenue, or damages resulting from the implementation or non-implementation of recommendations provided within the scope of the project.
Termination
Either party may terminate the agreement by providing written notice in accordance with the terms outlined within the final contract. Any work completed up to the termination date may be invoiced accordingly.
