Terms and Conditions

USER DISCLAIMER (Please Delete): This agreement may not be suitable for your circumstances and we recommend you seek legal advice before using it. Better Proposals does not take any responsibility for any events that arise as a result of your use of this agreement.

1. Scope of Services

*Templates - LIVE will provide the Google Business Profile Management services outlined in this proposal. Any work requested outside the agreed scope may be quoted separately and will only be undertaken with the client's approval.

2. Client Responsibilities

To ensure the successful delivery of our services, the client agrees to:
Grant administrator or manager access to their Google Business Profile.
Provide accurate business information, branding assets, menus, photography, and other requested materials.
Notify *Templates - LIVE of any changes to business details, including operating hours, contact information, services, promotions, or locations.
Review and approve content promptly where approval is required.

Delays in providing information or approvals may affect project timelines and campaign performance.

3. Payment Terms

The one-time setup fee is payable before work begins.
Monthly management fees are billed in advance and are due within 14 days of the invoice date unless otherwise agreed in writing.
Late payments may result in the suspension of services until the account is brought up to date.

4. Minimum Term & Cancellation

Monthly management services require a minimum commitment of three (3) months to allow sufficient time for optimization and measurable improvements.

Following the initial term, services continue on a month-to-month basis and may be cancelled by either party with 30 days' written notice.

5. Google Business Profile Ownership

The client retains full ownership of their Google Business Profile and all associated business assets. *Templates - LIVE acts solely as an authorized manager and will never claim ownership of the profile, customer reviews, or business data.

6. Performance Disclaimer

*Templates - LIVE follows Google's published best practices and industry-proven optimization strategies. However, search rankings, profile visibility, customer behaviour, review activity, and Google's algorithms are outside our control.

For this reason, we cannot guarantee specific rankings, lead volumes, sales, or revenue.

7. Content & Intellectual Property

All original content, graphics, copywriting, and marketing materials created by *Templates - LIVE remain our intellectual property until paid for in full.

Upon receipt of full payment, ownership of all custom-created content produced specifically for the client transfers to the client, excluding proprietary systems, templates, processes, and methodologies.

8. Third-Party Platforms

Google may modify its products, features, policies, algorithms, or functionality at any time without notice. *Templates - LIVE cannot be held responsible for changes made by Google that affect profile performance or available features.

9. Confidentiality

Both parties agree to treat all confidential business information shared throughout this engagement as confidential and not disclose it to any third party unless required by law.

10. Limitation of Liability

*Templates - LIVE's liability arising from this agreement shall be limited to the total fees paid by the client during the previous three months of service. Under no circumstances shall either party be liable for indirect, consequential, incidental, or loss of profits arising from this agreement.

11. Force Majeure

Neither party shall be liable for delays or failure to perform obligations caused by circumstances beyond their reasonable control, including but not limited to natural disasters, internet outages, government actions, or interruptions to Google's services.

12. Acceptance

By signing this proposal, the client confirms they have read and accepted these Terms & Conditions and authorizes *Templates - LIVE to commence the services described in this proposal.
